Profile

David Lam is a Hong Kong qualified solicitor. His practice focuses on advising issuers listed on the Hong Kong Stock Exchange, controlling shareholders and investors on post-listing compliance and regulatory matters. He regularly advises listed issuers on capital markets transactions, spin-offs, investment and financing, corporate governance, regulatory investigations and other corporate matters.

David advises Hong Kong listed companies, including state-owned enterprises and A+H companies, on post-listing compliance, corporate governance, share scheme arrangements and investment/financing related corporate matters. His clients have included Beijing Capital Jiaye, Greater Bay Area AI Computing, Ridge Outdoor, Ruihe Data Technology, China Vanke, COSCO SHIPPING Development, ZTE Corporation, Ping An Insurance, Fortior Technology, China Bohai Bank, Zhou Liu Fu Jewellery, Sino-Ocean Group, Yuzhou Group and Redsun Properties. David has also worked on a number of capital markets transactions and has advised investor and corporate clients on investment, financing and M&A matters.

David previously worked in the Corporate Finance Division of the Hong Kong Securities and Futures Commission (SFC), where he was responsible for the post-listing regulation of Hong Kong listed companies, including compliance policy development, inside information and disclosure of interests, major waiver applications and corporate governance matters. He also assisted with the updates to the OECD Corporate Governance Factbook on Hong Kong section updates. He previously practised at leading U.S. and U.K. law firms in Hong Kong. He is a CFA Charterholder and is fluent in Mandarin, English and Cantonese.

David is currently appointed by the Hong Kong SAR Government as a member of the Appeal Panel (Housing) and an adjudicator of the Immigration Tribunal.

    Hong Kong listed company financing & transactions

  • Advised China Vanke Co., Ltd. on its RMB22.0 billion shareholder loan arrangement and security transactions, which constituted continuing connected transactions under the Hong Kong Listing Rules.
  • Advised ZTE Corporation on its issue of RMB3.584 billion (US$499.3 million) USD-settled zero-coupon convertible bonds, which were listed on the Hong Kong Stock Exchange.
  • Advised Guangdong - Hong Kong Greater Bay Area Holdings Limited (now known as Greater Bay Area AI Computing Tech Co., Ltd.) on its US$243.5 million high-yield senior notes offering, which was listed on the Singapore Exchange.
  • Advised China Bohai Bank Co., Ltd. on its transfer of credit assets in the aggregate amount of approximately RMB47.93 billion, which constituted a very substantial disposal under the Hong Kong Listing Rules.
  • Advised China Southern Airlines Company Limited on its RMB12.7 billion A share issue and HK$3.5 billion H share issue.
  • Advised Ping An Insurance (Group) Company of China, Ltd. on the dual-primary listing of Lufax Holding Ltd on the Main Board of the Hong Kong Stock Exchange by way of introduction.
  • Advised Fosun International Limited on the spin-off and listing of Lanvin Group Holdings Limited through a de-SPAC transaction on the New York Stock Exchange.
  • Advised SouthGobi Resources Ltd. on its successful conversion from secondary listing to primary listing on the Main Board of the Hong Kong Stock Exchange under Chapter 19 of the Hong Kong Listing Rules.
  • Advised Mason Group Holdings Limited on a Hong Kong court-sanctioned scheme of arrangement proposed by the offeror and the related financing arrangements for privatisation and delisting from the Hong Kong Stock Exchange.
